Search & ETA: Ownership Without the Blank Page

Entrepreneurship through acquisition transfers proven cash flows to operators who can modernise them — a slower, more repeatable path to value than building from zero.

Capitali — Ideas & Perspectives

The default image of entrepreneurship is a blank page: a founder, an idea, and a long road to the first customer. Entrepreneurship through acquisition — ETA — inverts the sequence. An operator acquires an existing, profitable business, steps into leadership, and spends the following years improving what already works.

The model, formalised through the search fund tradition, is older than its current popularity suggests. What has changed is its relevance. Across developed and emerging Asia alike, a generation of successful small and mid-sized businesses faces a succession problem: capable founders approaching retirement, with customers, staff, and cash flow intact but no obvious successor. At the same time, a generation of capable operators wants ownership without the existential risk of a zero-to-one startup.

Why we find the model compelling

ETA aligns with how we think about value creation in three ways. First, it begins with reality: revenue, customers, and unit economics that already exist, rather than projections that must be believed. Second, it rewards operational improvement — exactly the discipline we practice through ME Ventures. The value in an acquisition is rarely in the purchase price alone; it is in the systems, pricing, and management depth installed afterward. Third, it is repeatable. The skills of sourcing, diligencing, acquiring, and modernising a business compound across successive transactions in a way that startup outcomes rarely do.

It is also honest about difficulty. Acquiring a business is not a shortcut around the hard years of company building — it relocates them. The operator inherits every weakness the founder tolerated, plus the burden of transition. The blank page is replaced by a written one, and rewriting someone else's story is its own discipline.

Our posture

Capitali's Search & ETA platform is in active development: building the sourcing relationships, diligence frameworks, and operator networks that make acquisitions work, rather than announcing deals that do not yet exist. In Southeast Asia, where business succession is a large and under-served reality, we believe the model will become one of the most important forms of entrepreneurship in the coming decade — and we intend to be a credible participant in it.
